SELLER AGREEMENT Version: 1.0 Effective Date: 26 July 2026 Last Updated: 26 July 2026 This Seller Agreement ("Agreement") forms a legally binding contract between Liyad Solutions (Pty) Ltd ("LIYAD", "we", "our", or "us") and every individual, sole proprietor, partnership, company, close corporation, trust or other legal entity ("Seller", "you" or "your") that creates or operates a Store using the LIYAD Platform. This Agreement forms part of the LIYAD Terms of Service. Where there is any conflict between this Agreement and the Terms of Service regarding Seller-specific obligations, this Agreement will prevail. By registering as a Seller, creating a Store, publishing products or accepting orders through the Platform, you agree to be bound by this Agreement.

1. Purpose of this Agreement

LIYAD provides software that enables independent businesses to operate online stores.

This Agreement explains:

  • Your responsibilities as a Seller.
  • Our responsibilities as the Platform provider.
  • The standards expected of every Seller.
  • The commercial relationship between LIYAD and Sellers.
  • The rules governing the operation of Stores.

The objective of this Agreement is to protect Buyers, Sellers and the integrity of the LIYAD Platform.

2. Becoming a Seller

To become a Seller, you must successfully complete the Seller registration process.

During registration you may be required to provide:

  • Full legal name
  • Business name
  • Email address
  • Mobile number
  • Physical address
  • Country of operation
  • Business registration details (where applicable)
  • VAT number (where applicable)
  • Identity verification documents
  • Banking information (where required)
  • Payment gateway account details

LIYAD reserves the right to verify any information provided during registration.

Providing false, misleading or fraudulent information may result in the rejection, suspension or permanent termination of your Seller account.

3. Eligibility Requirements

To operate a Store on LIYAD, you must:

  • Be at least 18 years old.
  • Have legal capacity to enter into contracts.
  • Be authorised to operate your business.
  • Comply with all applicable laws.
  • Maintain accurate business information.
  • Agree to this Agreement and all related Platform policies.

If you are registering on behalf of a company or organisation, you confirm that you have authority to bind that organisation to this Agreement.

4. Independent Business Relationship

LIYAD is a software provider.

You are an independent business.

Nothing in this Agreement creates:

  • Employment.
  • Partnership.
  • Agency.
  • Franchise.
  • Joint venture.
  • Representative authority.

You are solely responsible for how your business operates.

You decide:

  • Which products to sell.
  • How much to charge.
  • How orders are fulfilled.
  • Which couriers to use.
  • Which promotions to run.
  • Which suppliers you use.
  • Which warranties you offer.

LIYAD does not supervise your business.

5. Seller Responsibilities

As a Seller, you agree to operate your Store professionally, honestly and lawfully.

You are responsible for:

  • Every product you list.
  • Every order you accept.
  • Every customer you serve.
  • Every description you publish.
  • Every image you upload.
  • Every advertisement you create.
  • Every promise made to customers.
  • Every legal obligation arising from your business.

You must ensure that your Store reflects accurate and current information at all times.

6. Business Information

You agree to keep the following information up to date:

  • Business name
  • Contact details
  • Email address
  • Telephone number
  • Registered address
  • Banking details (where applicable)
  • VAT information (where applicable)
  • Payment gateway information

Failure to maintain accurate information may result in delayed payments, customer disputes or suspension of Platform services.

7. Store Branding

Every Seller may customise their Store using features made available by LIYAD.

These may include:

  • Business logo
  • Store banner
  • Brand colours
  • Product categories
  • Homepage content
  • About Us page
  • Contact information
  • Social media links

You may only upload branding that you own or have permission to use.

You may not use branding that infringes another person's intellectual property rights.

8. Store URL

Each Seller receives a unique Store address.

For example:

  • liyad.co.za/aluta
  • liyad.co.za/recadi
  • liyad.co.za/johnsfashion

Store names are allocated on a first-come, first-served basis.

LIYAD may reject or reclaim Store names where they:

  • Impersonate another business.
  • Infringe trademarks.
  • Are misleading.
  • Contain offensive language.
  • Promote illegal activity.
  • Damage the reputation of the Platform.

LIYAD may also reclaim inactive Store names after providing reasonable notice where practical.

9. Verification

To protect Buyers and maintain Platform integrity, LIYAD may verify Sellers before or after registration.

Verification may include:

  • Government-issued identification
  • Business registration documents
  • Proof of address
  • Tax information
  • Bank confirmation
  • Payment gateway verification
  • Telephone verification

Additional verification may be required where:

  • High-risk products are sold.
  • High transaction volumes occur.
  • Fraud is suspected.
  • Legal requirements change.

Failure to complete verification may result in restrictions on your Store.

10. Your Store

Your Store is your responsibility.

You are expected to maintain it professionally.

This includes ensuring:

  • Accurate pricing.
  • Correct stock availability.
  • Working images.
  • Functional contact information.
  • Current policies.
  • Appropriate product categorisation.
  • Professional customer communication.

LIYAD provides the tools to operate your Store.

The day-to-day management of your Store remains your responsibility.

11. Store Availability

LIYAD hosts your Store using its cloud infrastructure.

While we aim for high availability, uninterrupted operation cannot be guaranteed.

Scheduled maintenance, software updates, infrastructure upgrades and events beyond our reasonable control may occasionally affect Store availability.

LIYAD will make reasonable efforts to minimise disruption and communicate planned maintenance where practical.

12. Seller Dashboard

LIYAD provides a Seller Dashboard to help manage your business.

Depending on your subscription, available features may include:

  • Order Management
  • Product Management
  • Customer Management
  • Analytics
  • Marketing Tools
  • Inventory Management
  • Coupon Management
  • Reports
  • AI Content Generation
  • Supplier Marketplace Integration
  • Shipping Management
  • Notifications

LIYAD may add, remove or improve dashboard features at any time to enhance the Platform.

13. Product Listings

Every product listed on your Store must comply with this Agreement, the LIYAD Terms of Service and all applicable laws.

You are solely responsible for the products you choose to sell.

By publishing a product, you represent and warrant that:

  • You legally own the product or have the legal right to sell it.
  • The product is genuine.
  • The product complies with all applicable legislation.
  • The listing accurately represents the product.
  • All claims made are truthful and capable of being substantiated.
  • The listing does not infringe any third-party intellectual property rights.

LIYAD does not approve or certify products before they become available to Buyers.

13.1 Product Information

Every product listing should include accurate and complete information, including where applicable:

  • Product name
  • Description
  • Brand
  • Images
  • Specifications
  • Dimensions
  • Weight
  • Ingredients
  • Materials
  • Colour options
  • Variants
  • Warranty information
  • Care instructions
  • Country of origin (where required)

You must not intentionally omit information that could materially influence a Buyer's purchasing decision.

13.2 Product Images

Images uploaded to your Store must:

  • Accurately represent the product.
  • Be of reasonable quality.
  • Not contain misleading edits.
  • Not include copyrighted material without permission.
  • Not contain offensive or unlawful content.

You grant LIYAD a limited licence to display these images solely for operating and promoting your Store.

14. Inventory Management

You are responsible for maintaining accurate inventory records.

Inventory displayed to Buyers should reflect actual availability.

If inventory becomes unavailable after an order has been placed, you must:

  • Notify the Buyer promptly.
  • Explain the situation.
  • Offer an appropriate solution.
  • Issue a refund where required.

Repeated overselling may negatively affect your Seller performance rating and may result in corrective action by LIYAD.

15. Pricing

You are solely responsible for determining your pricing.

Prices displayed within your Store should be:

  • Accurate.
  • Transparent.
  • Up to date.
  • Compliant with applicable legislation.

You may offer:

  • Promotional pricing
  • Discount codes
  • Bundle pricing
  • Flash sales
  • Quantity discounts

You may not intentionally manipulate pricing to mislead customers.

Examples include:

  • Advertising a product at an unrealistic price solely to attract traffic.
  • Displaying hidden charges.
  • Misrepresenting discounts.
  • Creating fake "limited-time offers."

LIYAD reserves the right to remove misleading listings.

16. Orders

When a Buyer places an order through your Store, you are responsible for managing the order from acceptance through fulfilment.

Your responsibilities include:

  • Reviewing new orders promptly.
  • Confirming stock availability.
  • Preparing products for shipment or collection.
  • Keeping Buyers informed of progress.
  • Providing tracking details where applicable.
  • Responding to customer enquiries.

You should process orders within the timeframe stated in your Store policies.

Repeated delays without reasonable explanation may result in performance warnings.

17. Customer Service

Excellent customer service is essential to maintaining trust in the LIYAD Platform.

As a Seller, you agree to:

  • Respond to customer enquiries promptly.
  • Communicate respectfully.
  • Resolve disputes professionally.
  • Honour your published policies.
  • Keep customers informed about delays.

You should make reasonable efforts to resolve issues before they escalate into formal disputes.

18. Payment Gateways

LIYAD supports integration with approved third-party payment providers.

Depending on Platform support, these may include providers such as:

  • PayFast
  • Peach Payments
  • Paystack
  • Ozow
  • Yoco
  • Other approved providers

You are responsible for:

  • Creating and maintaining your payment gateway account.
  • Completing verification with your chosen provider.
  • Paying any fees charged by that provider.
  • Complying with that provider's terms and conditions.

LIYAD does not receive or hold Buyer funds unless expressly stated otherwise.

Payments made by Buyers are processed directly by your selected payment provider.

19. Shipping and Delivery

You are responsible for delivering products purchased through your Store.

You may choose your preferred fulfilment method, including:

  • Courier delivery
  • Local delivery
  • Collection
  • Digital delivery (where applicable)

You remain responsible for:

  • Packaging.
  • Dispatch.
  • Delivery communication.
  • Tracking numbers.
  • Delivery estimates.

LIYAD provides software to assist with order management but does not physically deliver products.

20. Returns and Refunds

Every Seller must publish a clear return and refund policy.

Your policy must comply with applicable consumer protection legislation.

Your policy should clearly explain:

  • Return eligibility.
  • Return timeframes.
  • Return conditions.
  • Refund methods.
  • Exchange options.
  • Non-returnable items.

Where the law requires a refund, you agree to process it promptly.

LIYAD may assist in facilitating communication but is not responsible for deciding whether a refund should be granted.

21. Customer Data

When operating your Store, you may receive access to customer information such as:

  • Names
  • Email addresses
  • Telephone numbers
  • Delivery addresses
  • Purchase history

You agree to:

  • Use customer information only for fulfilling legitimate business purposes.
  • Protect customer information against unauthorised access.
  • Not sell customer information.
  • Not share customer information without lawful authority.
  • Comply with applicable privacy legislation, including POPIA where applicable.

Customer trust is fundamental to the LIYAD ecosystem.

Misuse of customer information may result in immediate suspension.

22. Seller Performance Standards

LIYAD may evaluate Seller performance to maintain a high-quality marketplace experience.

Performance indicators may include:

  • Order fulfilment rate.
  • Order cancellation rate.
  • Response time.
  • Customer complaints.
  • Refund frequency.
  • Delivery performance.
  • Policy violations.
  • Product quality concerns.
  • Customer ratings and reviews.

Where performance consistently falls below acceptable standards, LIYAD may:

  • Provide guidance.
  • Issue warnings.
  • Require corrective action.
  • Restrict certain Platform features.
  • Suspend the Store.
  • Terminate the Seller account in serious or repeated cases.

Our objective is to help Sellers succeed while maintaining a safe and trusted environment for Buyers.

23. Marketing and Advertising

As a Seller, you are responsible for ensuring that all marketing, advertising and promotional activities conducted through your Store are lawful, truthful and not misleading.

Any advertisement published through LIYAD must:

  • Accurately represent the product or service.
  • Avoid false or exaggerated claims.
  • Clearly disclose any material conditions of promotions.
  • Comply with all applicable advertising laws and industry codes.
  • Respect the intellectual property rights of third parties.

You must not:

  • Make deceptive claims.
  • Use false testimonials.
  • Misrepresent discounts.
  • Impersonate another brand.
  • Publish misleading comparisons.
  • Use clickbait that misrepresents your products.

LIYAD reserves the right to remove advertisements that violate this Agreement or applicable law.

24. Promotions and Discounts

LIYAD may provide tools allowing Sellers to create promotional campaigns, including:

  • Coupon codes
  • Percentage discounts
  • Fixed-value discounts
  • Buy One Get One offers
  • Flash sales
  • Free shipping promotions
  • Loyalty rewards
  • Referral campaigns

When using these tools, you agree that:

  • Promotion rules will be clearly communicated.
  • Promotions will be honoured once accepted by a Buyer.
  • Expiry dates will be accurate.
  • Stock limitations will be disclosed where applicable.

Promotions must not intentionally mislead customers.

25. AI Features

LIYAD may provide artificial intelligence tools to assist Sellers with business operations.

These tools may include:

  • Product description generation
  • Marketing content generation
  • SEO optimisation
  • Social media captions
  • Email campaigns
  • Product recommendations
  • Customer support assistance
  • Translation services

AI-generated content is provided as a productivity tool only.

You remain solely responsible for reviewing and approving all AI-generated content before publication.

LIYAD makes no guarantee that AI-generated content will be:

  • Accurate
  • Legally compliant
  • Original
  • Free from bias
  • Suitable for your specific business

Any content published remains your responsibility.

26. Intellectual Property

You retain ownership of the intellectual property you upload to your Store, including:

  • Logos
  • Brand assets
  • Product images
  • Product descriptions
  • Videos
  • Marketing materials
  • Business documentation

By uploading content, you grant LIYAD a worldwide, non-exclusive, royalty-free licence to:

  • Host
  • Display
  • Store
  • Process
  • Optimise
  • Reproduce
  • Distribute

that content solely for the purpose of operating, improving and promoting the Platform.

You represent that you own, or have permission to use, all uploaded content.

You agree not to upload material that infringes another person's copyright, trademark, patent or other intellectual property rights.

27. Supplier Marketplace

LIYAD may introduce a Supplier Marketplace that allows approved suppliers to make products available for Sellers to import into their Stores.

Participation in the Supplier Marketplace is optional.

Where Sellers choose to import products from approved suppliers:

  • Sellers remain responsible for the products they choose to sell.
  • Sellers should satisfy themselves regarding product quality, legality and suitability.
  • Sellers are responsible for setting their own pricing.
  • Sellers are responsible for customer service and after-sales support.

Approval of a supplier by LIYAD does not constitute a guarantee of product quality or supplier performance.

Transactions between Suppliers and Sellers remain their independent commercial arrangements.

28. Reviews and Reputation

Buyers may submit reviews and ratings relating to:

  • Products
  • Delivery
  • Customer service
  • Overall shopping experience

You agree not to:

  • Create fake reviews.
  • Purchase reviews.
  • Encourage misleading reviews.
  • Threaten customers regarding reviews.
  • Offer undisclosed incentives for positive reviews.

LIYAD may remove reviews that:

  • Contain abusive language.
  • Are fraudulent.
  • Violate another person's rights.
  • Breach applicable laws.
  • Contravene Platform policies.

Consistently positive customer experiences contribute to maintaining a trusted marketplace.

29. Compliance with Laws

As a Seller, you are responsible for ensuring that your business complies with all applicable laws and regulations.

This includes, where applicable:

  • Consumer protection legislation
  • Privacy legislation
  • Tax legislation
  • Health regulations
  • Product safety standards
  • Advertising standards
  • Import and export regulations
  • Industry-specific licensing requirements

LIYAD does not provide legal, tax or regulatory advice.

You should obtain independent professional advice where necessary.

30. Taxes

You are solely responsible for:

  • Determining whether taxes apply to your sales.
  • Registering for VAT or other taxes where required.
  • Charging applicable taxes.
  • Collecting taxes.
  • Filing tax returns.
  • Paying taxes to the relevant authorities.

LIYAD does not calculate or remit taxes on your behalf unless expressly stated otherwise through a specific Platform feature.

31. Record Keeping

You are responsible for maintaining appropriate business records, including:

  • Sales records
  • Customer communications
  • Refund records
  • Shipping confirmations
  • Tax documentation
  • Supplier invoices
  • Purchase records
  • Product certifications where applicable

LIYAD recommends retaining records for the period required by applicable law.

32. Prohibited Conduct

To protect Buyers, Sellers and the Platform, you agree not to:

  • Sell counterfeit goods.
  • Sell stolen property.
  • Offer illegal products.
  • Upload malicious software.
  • Attempt to compromise Platform security.
  • Circumvent subscription requirements.
  • Create fake customer accounts.
  • Manipulate analytics.
  • Misuse promotional tools.
  • Harvest customer data.
  • Send spam.
  • Interfere with another Seller's business.
  • Misrepresent your identity.
  • Engage in fraudulent activity.
  • Infringe intellectual property rights.
  • Violate applicable laws.

Serious violations may result in immediate suspension or permanent removal from the Platform.

33. Audits and Investigations

LIYAD reserves the right to investigate suspected violations of this Agreement.

Where reasonably necessary, we may request additional information including:

  • Business documentation
  • Product information
  • Supplier details
  • Proof of authenticity
  • Shipping records
  • Customer communications

Failure to cooperate with a legitimate investigation may result in suspension of your Seller account.

LIYAD will handle information obtained during investigations in accordance with applicable privacy laws.

34. Suspension of Seller Accounts

LIYAD is committed to maintaining a secure, lawful and trustworthy platform for all users.

We may suspend all or part of your Seller account if we reasonably believe that:

  • You have breached this Agreement.
  • You have breached the Terms of Service.
  • You have violated any applicable law.
  • Fraudulent activity has occurred.
  • Your account has been compromised.
  • Your products present a risk to customers.
  • You have repeatedly failed to fulfil customer orders.
  • You have received excessive substantiated customer complaints.
  • You have failed to pay subscription fees.
  • You have attempted to interfere with the security or operation of the Platform.

Where reasonably practical, LIYAD will notify you of the suspension and provide information about the steps required to restore your account.

Certain violations may require immediate suspension without prior notice to protect Buyers, other Sellers or the Platform.

35. Termination

You may permanently close your Seller account at any time through your Seller Dashboard or by contacting LIYAD Support.

Termination of your account does not immediately remove historical records that LIYAD is required to retain for legal, accounting, security or operational purposes.

LIYAD may permanently terminate your Seller account where:

  • Fraud has been confirmed.
  • Counterfeit products have been sold.
  • Illegal products have been listed.
  • You repeatedly violate Platform policies.
  • You intentionally mislead customers.
  • You repeatedly fail to fulfil customer orders.
  • You misuse customer information.
  • You engage in conduct that materially damages the reputation of LIYAD.

Following termination:

  • Your Store may become inaccessible.
  • Public product listings may be removed.
  • Outstanding subscription fees remain payable.
  • Existing legal obligations continue where applicable.
  • Certain customer records may be retained where required by law.

Termination of your account does not affect rights or obligations that arose before termination.

36. Confidentiality

During your use of the Platform, you may gain access to confidential information belonging to LIYAD.

Confidential information may include:

  • Software architecture
  • Source code
  • Security procedures
  • Business processes
  • Internal documentation
  • Pricing models not publicly disclosed
  • Product roadmaps
  • Commercial strategies

You agree not to disclose confidential information to any third party unless:

  • Required by law.
  • Authorised in writing by LIYAD.

This obligation survives termination of this Agreement.

37. Platform Improvements

LIYAD continuously improves the Platform.

Accordingly, we may:

  • Introduce new features.
  • Modify existing functionality.
  • Remove obsolete features.
  • Improve security.
  • Improve performance.
  • Introduce new subscription plans.
  • Expand integrations.
  • Launch new AI capabilities.
  • Release new APIs.

Where changes materially affect Sellers, LIYAD will provide reasonable notice whenever practical.

Nothing in this Agreement guarantees that any specific feature will remain permanently available.

38. Limitation of Liability

To the fullest extent permitted by law, LIYAD shall not be liable for any indirect, incidental, consequential or special damages arising from your use of the Platform.

This includes, without limitation:

  • Loss of profits.
  • Loss of revenue.
  • Loss of business opportunities.
  • Loss of customers.
  • Loss of reputation.
  • Loss of goodwill.
  • Loss of data.
  • Business interruption.
  • Supplier disputes.
  • Customer disputes.
  • Courier delays.
  • Payment gateway failures.
  • Third-party software failures.

LIYAD provides software to support your business.

You remain responsible for operating your business successfully.

Nothing in this Agreement excludes liability that cannot legally be excluded under applicable law.

39. Indemnity

You agree to indemnify and hold harmless LIYAD, its directors, officers, employees, contractors, affiliates and service providers against all claims, damages, losses, liabilities, legal costs and expenses arising from:

  • Your Store.
  • Your products.
  • Your services.
  • Your advertising.
  • Your breach of this Agreement.
  • Your breach of applicable law.
  • Intellectual property infringement.
  • Customer claims.
  • Product liability claims.
  • Tax obligations.
  • Regulatory investigations relating to your business.

This indemnity survives termination of this Agreement.

40. Force Majeure

LIYAD will not be responsible for delays or failures caused by circumstances beyond our reasonable control.

Examples include:

  • Natural disasters.
  • Floods.
  • Fires.
  • Power outages.
  • Internet failures.
  • Cloud infrastructure failures.
  • Cyber attacks.
  • Government action.
  • Civil unrest.
  • Labour strikes.
  • Public health emergencies.

During such events, affected obligations may be suspended for the duration of the disruption.

41. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

Any legal proceedings arising from this Agreement shall be subject to the jurisdiction of the competent courts of South Africa unless applicable legislation provides otherwise.

42. Dispute Resolution

LIYAD encourages Sellers to resolve disputes through open communication before commencing legal proceedings.

If a dispute arises regarding this Agreement:

  • The parties should first attempt to resolve the matter through good-faith discussions.
  • If the matter cannot be resolved, either party may pursue any remedies available under applicable law.

Nothing in this section limits a party's right to seek urgent legal relief where necessary.

43. Notices

Official notices relating to this Agreement may be delivered through:

  • Email.
  • Seller Dashboard notifications.
  • Registered business address (where appropriate).
  • Platform announcements.

It is your responsibility to ensure that your contact information remains accurate and current.

Notices sent to your registered email address will be deemed received unless proven otherwise.

44. Assignment

You may not assign, transfer or sell your rights or obligations under this Agreement without LIYAD's prior written consent.

LIYAD may assign or transfer this Agreement as part of:

  • A merger.
  • Acquisition.
  • Corporate restructuring.
  • Sale of assets.
  • Internal reorganisation.

Any such assignment will not reduce your rights under this Agreement.

45. Severability

If any provision of this Agreement is found to be unlawful, invalid or unenforceable, that provision shall be interpreted to achieve its intended purpose as closely as possible.

The remaining provisions shall continue in full force and effect.

46. Entire Agreement

This Seller Agreement, together with the following documents, constitutes the complete agreement between LIYAD and the Seller regarding the operation of a Store:

  • Terms of Service
  • Privacy Policy
  • Acceptable Use Policy
  • Health Claims Policy
  • Prohibited Products Policy
  • Community Standards
  • Copyright Policy
  • Cookie Policy
  • Any additional policies published within the LIYAD Trust Centre

Where a conflict exists, the document dealing specifically with the relevant subject matter shall prevail to the extent of that conflict.

Acceptance

By registering as a Seller, creating a Store, publishing products or accepting orders through the LIYAD Platform, you acknowledge that you have read, understood and agree to be legally bound by this Seller Agreement.

If you do not agree to this Agreement, you must not operate a Store on the Platform.

LIYAD is committed to providing a secure, professional and trusted environment where entrepreneurs and businesses can confidently grow their online presence.

Platform responsibility statement

LIYAD is a software platform that enables independent sellers to create and manage online stores. LIYAD is not the seller of products listed on the platform. Unless LIYAD is explicitly identified as the merchant for a specific transaction, it does not manufacture, own, warehouse, inspect, guarantee, endorse or deliver products sold by independent sellers. Each seller is solely responsible for product quality, pricing, legal compliance, fulfilment, customer support, refunds, warranties and tax obligations.
