Buyer Terms & Conditions

The terms that govern every purchase made through the LIYAD Platform.

Welcome to LIYAD. These Buyer Terms & Conditions ("Buyer Terms") govern every purchase made through the LIYAD Platform. This Agreement is entered into between: You ("Buyer") Liyad Solutions (Pty) Ltd ("LIYAD") The independent Seller from whom you purchase products These Buyer Terms form part of the LIYAD Terms of Service. By creating a Buyer account, browsing Stores or placing an order through LIYAD, you agree to these Buyer Terms.

1. Understanding How LIYAD Works

LIYAD is a Software-as-a-Service (SaaS) platform that enables independent businesses to create and manage their own online stores.

LIYAD provides the technology used by Sellers to operate their businesses.

LIYAD is not the owner of the products listed by Sellers.

Unless expressly stated otherwise, LIYAD:

  • Does not manufacture products.
  • Does not own inventory.
  • Does not act as the retailer.
  • Does not package products.
  • Does not ship products.
  • Does not provide warranties on behalf of Sellers.
  • Does not become a party to the sales contract between you and the Seller.

When you purchase a product through LIYAD, your purchase agreement is entered into directly with the independent Seller operating that Store.

LIYAD provides the software that facilitates the transaction.

2. Acceptance of these Terms

By using the Platform you confirm that:

  • You have read these Buyer Terms.
  • You understand these Buyer Terms.
  • You agree to comply with them.
  • You have legal capacity to enter into a binding agreement.

If you are purchasing on behalf of a business or organisation, you confirm that you have authority to bind that organisation.

3. Buyer Account

Creating a Buyer account allows you to access additional Platform features.

These may include:

  • Order history
  • Saved delivery addresses
  • Wishlist
  • Faster checkout
  • Notifications
  • Product reviews
  • Order tracking

You are responsible for maintaining accurate account information.

3.1 One Account Across LIYAD

Your LIYAD account works across all participating Stores.

For example, you may purchase from:

  • liyad.co.za/aluta
  • liyad.co.za/recadi
  • liyad.co.za/fitnessplus

using one Buyer account.

Each Seller only has access to the information necessary to fulfil orders placed with their Store.

3.2 Account Security

You are responsible for:

  • Protecting your password.
  • Keeping your account secure.
  • Updating your contact information.
  • Reporting suspected unauthorised access.

Any activity performed using your account is your responsibility unless you notify LIYAD that your account has been compromised.

4. Browsing Stores

Each Store on LIYAD is independently operated.

Individual Sellers determine:

  • Product availability
  • Pricing
  • Promotions
  • Delivery methods
  • Shipping fees
  • Return policies
  • Business hours

As a result, products, policies and customer experiences may differ from one Store to another.

5. Product Information

Sellers are responsible for ensuring that product listings accurately describe their products.

Product information may include:

  • Images
  • Specifications
  • Sizes
  • Colours
  • Ingredients
  • Materials
  • Pricing
  • Availability
  • Delivery estimates

While LIYAD encourages accurate listings, we cannot guarantee that every listing is free from errors.

If you have questions regarding a product, you should contact the Seller before completing your purchase.

6. Pricing

Prices displayed within each Store are determined by the Seller.

Prices may:

  • Include VAT where applicable.
  • Exclude VAT where legally permitted.
  • Include promotional pricing.
  • Change without notice until an order has been confirmed.

LIYAD is not responsible for pricing decisions made by independent Sellers.

Obvious pricing errors may result in an order being cancelled by the Seller before shipment.

7. Product Availability

Products displayed within a Store may become unavailable.

Availability depends entirely on the Seller's inventory.

Where a product becomes unavailable after an order has been placed, the Seller should notify you promptly and explain the available options, which may include:

  • Waiting for new stock
  • Selecting an alternative product
  • Receiving a refund where appropriate

8. Placing an Order

When you submit an order, you are making an offer to purchase products from the Seller.

After placing your order:

  • You will receive an order confirmation.
  • Payment will be processed through the selected payment provider.
  • The Seller will review the order.
  • The Seller will prepare the order for fulfilment.

Receipt of an order confirmation does not necessarily mean the order has been accepted if there are legitimate reasons preventing fulfilment.

9. Order Acceptance

A Seller may refuse or cancel an order where:

  • Payment could not be verified.
  • Fraud is suspected.
  • Products are unavailable.
  • Pricing errors occurred.
  • Delivery cannot reasonably be completed.
  • Legal restrictions apply.

If an order cannot be fulfilled after payment has been received, the Seller should process an appropriate refund in accordance with applicable law.

10. Communication

By placing an order, you agree that LIYAD and the Seller may contact you regarding:

  • Order confirmation
  • Payment updates
  • Delivery information
  • Shipping delays
  • Collection arrangements
  • Customer support
  • Product recalls where applicable

Service-related communications are necessary for fulfilling your order.

11. Payments

All payments made through LIYAD are processed using secure third-party payment providers selected by the Seller.

LIYAD does not directly process or store your full payment card details.

Available payment methods may vary between Stores and may include:

  • Credit Cards
  • Debit Cards
  • Instant EFT
  • Digital Wallets
  • Buy Now, Pay Later services
  • Bank Transfers (where offered by the Seller)

Payment methods are determined by each Seller and their chosen payment gateway.

12. Payment Authorization

By submitting payment, you confirm that:

  • You are authorized to use the selected payment method.
  • The payment information provided is accurate.
  • There are sufficient funds or credit available.
  • The transaction does not violate any applicable laws.

Providing false or fraudulent payment information may result in:

  • Order cancellation
  • Account suspension
  • Reporting to the relevant authorities
  • Civil or criminal proceedings where applicable

13. Payment Confirmation

After successful payment, you will typically receive:

  • A payment confirmation
  • An order confirmation
  • A receipt or invoice (where applicable)

Receipt of payment confirmation does not guarantee immediate shipment, as the Seller may still need to verify stock availability or complete fraud checks.

14. Failed Payments

An order may not be processed if:

  • Payment authorization fails.
  • The payment is declined by your bank.
  • Fraud prevention checks fail.
  • Incorrect payment information is provided.
  • The payment session expires.

If payment fails, you may retry using another approved payment method.

15. Taxes

Prices displayed by Sellers may include or exclude applicable taxes, depending on legal requirements and the Seller's tax status.

Where Value-Added Tax (VAT) applies, it will be reflected in accordance with South African tax legislation.

Buyers are responsible for any customs duties, import taxes, or other charges that may apply to international purchases.

16. Delivery

Each Seller is responsible for arranging delivery of products purchased through their Store.

Delivery methods may include:

  • Courier delivery
  • Local delivery
  • Collection from store
  • Digital delivery (where applicable)

Estimated delivery times are provided by the Seller and are estimates only.

Unexpected circumstances such as severe weather, courier delays, public holidays, strikes, or other events outside the Seller's control may affect delivery times.

17. Shipping

Shipping costs are determined by each Seller.

Shipping charges may vary depending on:

  • Delivery location
  • Parcel size
  • Parcel weight
  • Courier selected
  • Delivery speed
  • Promotional offers

Shipping costs will normally be displayed before you complete your purchase.

18. Order Tracking

Where supported by the Seller, Buyers may receive:

  • Tracking numbers
  • Courier updates
  • Delivery notifications
  • Estimated arrival dates

Tracking information is provided for convenience and may be supplied directly by the courier or logistics provider.

LIYAD is not responsible for inaccuracies in third-party tracking systems.

19. Collections

Some Sellers may allow products to be collected instead of delivered.

Where collection is available:

  • The Seller will notify you when the order is ready.
  • Collection times will be determined by the Seller.
  • Identification may be required before goods are released.
  • Collection deadlines may apply.

Orders not collected within a reasonable period may be cancelled in accordance with the Seller's policies.

20. Returns

Return policies are established by each Seller, subject to applicable consumer protection laws.

Before purchasing, Buyers should review the Seller's return policy.

Returns may be accepted where:

  • Incorrect products were supplied.
  • Products arrive damaged.
  • Products are defective.
  • Products do not substantially match the description.
  • Applicable consumer protection laws provide a right of return.

Certain products may not be eligible for return, including:

  • Personalized or custom-made products.
  • Perishable goods.
  • Opened health or hygiene products.
  • Digital products already accessed or downloaded, where permitted by law.
  • Items specifically identified as non-returnable.

21. Refunds

Where a refund is approved, it will generally be processed by the Seller using the original payment method, unless otherwise required by law or agreed with the Buyer.

Refund processing times may vary depending on:

  • The payment provider.
  • The financial institution.
  • Card issuer processing times.
  • Banking systems.

LIYAD does not control the speed at which banks or payment providers process refunds.

22. Cancellations

Cancellation rights may vary depending on:

  • Whether the order has already been processed.
  • Whether the product has been shipped.
  • The nature of the product.
  • Applicable consumer protection legislation.

Where cancellation is permitted, the Seller will communicate any applicable conditions or fees before processing the cancellation.

23. Consumer Protection Rights

Nothing in these Buyer Terms limits any rights available to consumers under applicable consumer protection legislation.

Where South African law applies, Buyers may have rights under the Consumer Protection Act (CPA), including rights relating to:

  • Fair marketing
  • Fair pricing
  • Safe products
  • Product quality
  • Repairs
  • Replacement
  • Refunds
  • Cooling-off rights where applicable

If there is any inconsistency between these Buyer Terms and mandatory consumer protection legislation, the applicable legislation will prevail.

24. Product Warranties

Any warranties relating to products are provided by the Seller or the product manufacturer, unless expressly stated otherwise.

LIYAD does not independently provide warranties for products sold by independent Sellers.

Warranty claims should be directed to the Seller in the first instance.

25. Damaged, Incorrect or Defective Products

If you receive products that are:

  • Damaged
  • Defective
  • Incorrect
  • Incomplete

You should notify the Seller as soon as reasonably possible.

Where appropriate, you may be asked to provide:

  • Photographs
  • Order number
  • Description of the issue
  • Supporting documentation

The Seller will assess the claim and determine the appropriate remedy in accordance with applicable law.

Possible remedies may include:

  • Replacement
  • Repair
  • Refund
  • Store credit (where agreed)

26. Buyer Responsibilities

As a Buyer using the LIYAD Platform, you agree to:

  • Provide accurate and complete information.
  • Keep your account information up to date.
  • Maintain the confidentiality of your login credentials.
  • Use the Platform lawfully.
  • Respect the rights of Sellers and other users.
  • Make payment for orders placed.
  • Provide accurate delivery information.
  • Communicate respectfully with Sellers and support staff.

You are responsible for all activity conducted through your account unless you promptly notify LIYAD of unauthorized access.

27. Reviews and Ratings

LIYAD may allow Buyers to leave reviews and ratings for Sellers and products.

Reviews help improve transparency and assist other Buyers in making informed purchasing decisions.

Reviews must be:

  • Honest
  • Accurate
  • Based on genuine purchasing experiences
  • Respectful
  • Relevant to the product or service received

Reviews must not contain:

  • False statements
  • Defamatory content
  • Hate speech
  • Harassment
  • Threats
  • Spam
  • Advertising
  • Personal information
  • Confidential business information
  • Illegal content

LIYAD reserves the right to remove reviews that violate these Buyer Terms or applicable law.

Removing a review does not necessarily indicate that the review was inaccurate; it may simply have breached our content standards.

28. Buyer Conduct

When using LIYAD, you agree not to:

  • Use the Platform for unlawful purposes.
  • Attempt to interfere with Platform operations.
  • Upload malicious software or code.
  • Attempt unauthorized access to accounts or systems.
  • Circumvent Platform security.
  • Harvest user information.
  • Impersonate another person or business.
  • Misrepresent your identity.
  • Submit fraudulent orders.
  • Abuse Sellers or support staff.
  • Manipulate reviews or ratings.
  • Use automated systems to scrape Platform content without authorization.

Violation of these rules may result in suspension or termination of your account.

29. Fraud Prevention

To protect Buyers, Sellers, and the Platform, LIYAD may monitor transactions for indicators of fraud.

Examples include:

  • Unusual purchasing patterns.
  • Repeated failed payment attempts.
  • Suspicious account activity.
  • Multiple accounts created for fraudulent purposes.
  • Use of stolen payment methods.
  • Identity theft indicators.

Where suspicious activity is detected, LIYAD may:

  • Delay order processing.
  • Request additional verification.
  • Suspend access to the account.
  • Cancel affected transactions.
  • Report suspected criminal activity to the appropriate authorities where required.

These measures help maintain a safe marketplace for all users.

30. Intellectual Property

The LIYAD Platform, including its software, design, branding, logos, graphics, text, and functionality, is owned by or licensed to LIYAD.

Buyers may use the Platform solely for its intended purpose.

You may not:

  • Copy Platform content without authorization.
  • Reproduce software.
  • Reverse engineer Platform functionality.
  • Create derivative works.
  • Use LIYAD trademarks without permission.
  • Remove copyright notices.
  • Commercially exploit Platform content.

Product images, descriptions, trademarks, and branding displayed within Stores remain the property of the respective Sellers or their licensors.

31. Buyer and Seller Disputes

Most issues can be resolved directly between the Buyer and the Seller.

Examples include:

  • Delivery delays
  • Incorrect products
  • Damaged goods
  • Refund requests
  • Warranty claims
  • Missing items

Where appropriate, LIYAD may provide tools or support to facilitate communication between Buyers and Sellers.

However, unless otherwise required by law, LIYAD is not obligated to determine the outcome of disputes between independent Buyers and Sellers.

LIYAD reserves the right to investigate disputes where they involve fraud, abuse of the Platform, or violations of these Buyer Terms.

32. Chargebacks

If you believe a payment has been processed incorrectly, you should first contact the Seller to seek a resolution.

Initiating an unnecessary or fraudulent chargeback may:

  • Delay future purchases.
  • Lead to temporary account restrictions.
  • Require additional verification.
  • Result in suspension where abuse is identified.

LIYAD may cooperate with payment providers and Sellers in responding to chargeback investigations by providing transaction records where legally permitted.

33. Account Suspension and Termination

LIYAD may suspend or terminate Buyer accounts where there is reasonable evidence of:

  • Fraud.
  • Illegal activity.
  • Abuse of the Platform.
  • Repeated violations of these Buyer Terms.
  • Harassment of Sellers or users.
  • Unauthorized access attempts.
  • Security threats.

Where reasonably practicable, LIYAD will notify affected users of significant account actions.

Termination of an account does not automatically cancel outstanding obligations relating to completed purchases or legal claims.

34. Limitation of Liability

To the maximum extent permitted by applicable law, LIYAD shall not be liable for losses arising from:

  • Seller conduct.
  • Product quality.
  • Product safety.
  • Delivery delays.
  • Courier failures.
  • Product availability.
  • Pricing errors made by Sellers.
  • Business interruptions experienced by Sellers.
  • Third-party payment providers.
  • Third-party logistics providers.

Nothing in these Buyer Terms excludes liability that cannot legally be excluded under applicable law.

35. Indemnity

You agree to indemnify and hold harmless LIYAD, its directors, employees, affiliates, contractors, and representatives against claims, losses, damages, liabilities, costs, and expenses arising from:

  • Your breach of these Buyer Terms.
  • Fraudulent activity.
  • Misuse of the Platform.
  • Violation of applicable laws.
  • Infringement of another person's rights.

This indemnity applies only to the extent permitted by applicable law.

36. Platform Responsibilities

LIYAD is responsible for providing and maintaining the software platform used by Buyers and Sellers.

LIYAD aims to:

  • Maintain Platform availability.
  • Protect user information.
  • Improve Platform functionality.
  • Respond to technical issues.
  • Support Sellers in operating their online Stores.

While we strive for high availability, LIYAD does not guarantee uninterrupted access to the Platform and may perform maintenance, updates, or emergency repairs from time to time.

37. Governing Law

These Buyer Terms shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

Nothing contained in these Buyer Terms limits any rights granted to consumers under applicable legislation, including the Consumer Protection Act, 2008 (CPA), the Electronic Communications and Transactions Act (ECTA), and any other applicable laws.

Where mandatory consumer rights apply, those rights shall prevail over any conflicting provision contained in these Buyer Terms.

38. Dispute Resolution

LIYAD encourages Buyers and Sellers to resolve disputes amicably and in good faith.

Where a dispute arises, the following process is recommended:

Step 1 — Contact the Seller

The Buyer should first contact the Seller directly to explain the issue and provide the Seller with a reasonable opportunity to resolve the matter.

Examples include:

  • Missing orders
  • Incorrect products
  • Delivery issues
  • Damaged goods
  • Refund requests
  • Warranty claims

Step 2 — Request Platform Assistance

If the issue cannot be resolved directly, Buyers may contact LIYAD Support.

Where appropriate, LIYAD may:

  • Facilitate communication
  • Request supporting information
  • Investigate suspected fraud
  • Assist with technical Platform issues

LIYAD does not act as an arbitrator or court and does not guarantee a particular outcome in disputes between independent Buyers and Sellers.

Step 3 — Legal Remedies

Nothing in these Buyer Terms prevents either party from exercising any legal rights available under applicable law.

39. Electronic Communications

By creating an account or placing an order, you consent to receiving electronic communications from LIYAD and Sellers.

These communications may include:

  • Order confirmations
  • Shipping notifications
  • Security alerts
  • Password reset emails
  • Platform announcements
  • Service updates
  • Legal notices
  • Account notifications

Electronic communications satisfy any legal requirement that communications be provided in writing where permitted by law.

40. Changes to these Buyer Terms

LIYAD may update these Buyer Terms from time to time to reflect:

  • Changes in legislation
  • Platform improvements
  • New services
  • Security enhancements
  • Business changes
  • Regulatory guidance

Where material changes are made, we will take reasonable steps to notify users through:

  • Email
  • Dashboard notifications
  • Platform announcements
  • Trust Centre updates

The latest version will always be published in the LIYAD Trust Centre.

Continued use of the Platform after changes become effective constitutes acceptance of the updated Buyer Terms.

41. Force Majeure

LIYAD shall not be liable for delays or failures resulting from circumstances beyond our reasonable control.

Examples include:

  • Natural disasters
  • Floods
  • Fires
  • Power outages
  • Internet failures
  • Labour disputes
  • Civil unrest
  • Government actions
  • Pandemics
  • Cybersecurity incidents affecting infrastructure providers

During such events, LIYAD will make reasonable efforts to restore services as soon as practicable.

42. Assignment

Buyers may not assign or transfer their rights or obligations under these Buyer Terms without the prior written consent of LIYAD.

LIYAD may assign or transfer its rights and obligations where reasonably necessary in connection with:

  • Corporate restructuring
  • Business acquisitions
  • Mergers
  • Sale of assets
  • Outsourcing of Platform operations

provided that such transfer does not materially reduce the protections afforded to Buyers under these Buyer Terms.

43. Severability

If any provision of these Buyer Terms is determined by a court or competent authority to be invalid, unlawful or unenforceable, that provision shall be interpreted as closely as possible to its original intent.

The remaining provisions shall remain valid and enforceable.

44. No Waiver

Failure by LIYAD to enforce any provision of these Buyer Terms shall not constitute a waiver of that provision or any other rights available to LIYAD.

Any waiver must be made expressly and in writing.

45. Entire Agreement

These Buyer Terms should be read together with the following documents available within the LIYAD Trust Centre:

  • Terms of Service
  • Privacy Policy
  • Seller Agreement
  • Cookie Policy
  • Acceptable Use Policy
  • Community Standards
  • Prohibited Products Policy
  • Health Claims Policy
  • Copyright Policy

Together, these documents constitute the complete agreement governing your use of the LIYAD Platform as a Buyer.

For order-specific questions, Buyers are encouraged to contact the relevant Seller before contacting LIYAD, as Sellers are responsible for fulfilling orders placed through their Stores.

Acknowledgement

By creating a Buyer account, browsing Stores, placing orders or otherwise using the LIYAD Platform, you acknowledge that you have read, understood and agree to be bound by these Buyer Terms & Conditions.

If you do not agree with these Buyer Terms, you should discontinue use of the Platform.

Platform responsibility statement

LIYAD is a software platform that enables independent sellers to create and manage online stores. LIYAD is not the seller of products listed on the platform. Unless LIYAD is explicitly identified as the merchant for a specific transaction, it does not manufacture, own, warehouse, inspect, guarantee, endorse or deliver products sold by independent sellers. Each seller is solely responsible for product quality, pricing, legal compliance, fulfilment, customer support, refunds, warranties and tax obligations.
