Terms of Service

The master agreement that governs how everyone uses the LIYAD platform.

These Terms of Service ("Terms") govern your access to and use of the LIYAD Platform, operated by Liyad Solutions (Pty) Ltd. This document is now complete. Parts 1 through 4 are published below and together form the full Terms of Service applicable to all visitors, buyers and sellers using the Platform.

1. Introduction

Welcome to LIYAD, a Software-as-a-Service ("SaaS") platform owned and operated by Liyad Solutions (Pty) Ltd ("LIYAD", "we", "our", or "us").

These Terms of Service ("Terms") govern your access to and use of the LIYAD Platform, including our website, software, applications, APIs, dashboards, mobile experiences, services and any related functionality made available through LIYAD.

LIYAD provides technology that enables independent individuals and businesses ("Sellers") to create, manage and operate their own online stores.

Through the Platform, Sellers may:

  • Create branded online stores.
  • Display and manage products.
  • Accept online payments using supported third-party payment gateways connected to their own accounts.
  • Receive customer orders.
  • Manage customers.
  • Monitor sales performance.
  • Operate their businesses online.

LIYAD provides the software infrastructure that makes these activities possible.

LIYAD does not own the stores created by Sellers.

LIYAD does not manufacture products.

LIYAD does not own inventory.

LIYAD does not purchase products from Sellers.

LIYAD does not become the merchant of record for products sold by independent Sellers unless expressly stated otherwise.

LIYAD does not guarantee the quality, legality, safety, effectiveness, authenticity or suitability of products offered by Sellers.

Every sale made through a Seller's store is a transaction between the Buyer and that independent Seller.

These Terms establish the legal relationship between LIYAD and every person who accesses or uses the Platform.

These Terms apply whether you are:

  • Browsing the Platform;
  • Registering an account;
  • Creating a store;
  • Purchasing products;
  • Using our software;
  • Accessing APIs;
  • Uploading content;
  • Using any feature provided by LIYAD.

By accessing or using the Platform you acknowledge that you have read, understood and agreed to these Terms.

If you do not agree with these Terms you must immediately stop using the Platform.

2. About LIYAD

LIYAD is a software platform.

LIYAD is not an online retailer.

LIYAD is not a distributor.

LIYAD is not a wholesaler.

LIYAD is not a logistics company.

LIYAD is not a courier service.

LIYAD is not a payment processor.

LIYAD provides software that enables independent businesses to sell directly to their customers.

Every Seller remains an independent business operating under its own responsibility.

Every Seller independently determines:

  • Products sold
  • Product descriptions
  • Product pricing
  • Product availability
  • Promotions
  • Delivery methods
  • Collection methods
  • Return policies
  • Customer support
  • Refund decisions
  • Warranty policies
  • Tax obligations

LIYAD does not control how Sellers operate their businesses.

Nothing contained on the Platform creates:

  • Employment
  • Agency
  • Franchise
  • Joint Venture
  • Partnership
  • Fiduciary relationship

between LIYAD and any Seller.

Every Seller operates independently and remains solely responsible for its business activities.

3. Acceptance of these Terms

By accessing or using the Platform you confirm that:

  • You have read these Terms.
  • You understand these Terms.
  • You agree to comply with these Terms.
  • You have the legal capacity to enter into binding agreements.
  • You will comply with all applicable laws while using the Platform.

If you access LIYAD on behalf of a company, organisation, partnership or other legal entity, you represent that you have authority to bind that entity to these Terms.

The organisation will also be legally bound by these Terms.

If you do not have such authority you may not use the Platform on behalf of that organisation.

4. Eligibility

To use LIYAD you must:

  • Be at least 18 years of age, or the age of majority applicable in your jurisdiction.
  • Have the legal capacity to enter into binding agreements.
  • Provide accurate registration information.
  • Maintain current account information.
  • Use the Platform only for lawful purposes.

LIYAD reserves the right to request identity verification at any time.

We may refuse registration, suspend access or terminate accounts where we reasonably believe:

  • False information has been provided.
  • Fraudulent activity is occurring.
  • Applicable laws are being violated.
  • Platform policies have been breached.

Sellers are solely responsible for ensuring that they are legally permitted to sell the products they list.

5. Definitions

Throughout these Terms the following words have the meanings assigned below.

Account

A registered profile used to access the Platform.

Activation Fee

The once-off fee payable when creating a Seller account.

Buyer

Any person purchasing products or services from a Seller through the Platform.

Content

All information uploaded to the Platform including:

  • Text
  • Images
  • Logos
  • Product descriptions
  • Videos
  • Graphics
  • Documents
  • Reviews
  • Ratings
  • Marketing material

Customer

A Buyer who has placed an order with a Seller.

Order

A request submitted by a Buyer to purchase one or more products from a Seller.

Payment Gateway

A third-party payment service connected by a Seller to accept payments from Buyers.

Examples include, but are not limited to:

  • PayFast
  • Peach Payments
  • Paystack
  • Ozow
  • Yoco
  • Any future supported payment provider

LIYAD does not own or operate these payment gateways.

Platform

The LIYAD website, software, applications, APIs, dashboards, databases and all associated technology provided by LIYAD.

Product

Any item, digital product or service offered for sale by a Seller.

Seller

An independent individual, company or organisation using LIYAD to operate an online store.

Store

A digital storefront created by a Seller using LIYAD. Each Store operates independently.

Subscription

The recurring monthly fee payable by Sellers for continued access to LIYAD services.

Visitor

Any person accessing the Platform without creating an account.

Personal Information

Information relating to an identifiable natural person as defined by applicable privacy legislation including the Protection of Personal Information Act (POPIA), where applicable.

Applicable Law

All laws, regulations, industry codes, consumer protection requirements and legal obligations applicable to a user's activities.

6. Changes to these Terms

LIYAD continually improves the Platform.

As our services evolve, these Terms may need to change.

We reserve the right to modify these Terms at any time.

Changes may include updates relating to:

  • New Platform features
  • Subscription pricing
  • Legal requirements
  • Security practices
  • Compliance obligations
  • Seller requirements
  • Buyer protections
  • Payment integrations
  • Third-party services

Where material changes are made, LIYAD will take reasonable steps to notify users through one or more of the following:

  • Email notifications
  • Dashboard announcements
  • Trust Centre updates
  • Platform notifications

The latest version of these Terms will always be available in the Trust Centre.

Your continued use of the Platform after updated Terms become effective constitutes acceptance of those updated Terms.

If you do not agree with revised Terms, you must discontinue using the Platform.

LIYAD will make reasonable efforts to respond to enquiries within an appropriate timeframe depending on the nature and complexity of the request.

8. User Accounts

8.1 Creating an Account

Certain features of the Platform require you to create an Account.

When registering, you agree to provide information that is:

  • Accurate
  • Complete
  • Current
  • Truthful

You must not register using:

  • False identities
  • Fake names
  • Stolen identities
  • Another person's information without their permission

LIYAD reserves the right to request supporting documentation to verify your identity at any stage.

8.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials.

This includes:

  • Your email address
  • Password
  • One-Time Passwords (OTPs)
  • Authentication devices
  • Recovery methods

You agree not to:

  • Share your password with others.
  • Allow unauthorized users to access your account.
  • Attempt to gain access to another user's account.
  • Circumvent authentication mechanisms.

Any activity performed using your account will be considered to have been performed by you unless you notify LIYAD that your account has been compromised.

8.3 Account Information

You must keep your account information up to date.

This includes:

  • Name
  • Email address
  • Telephone number
  • Business information
  • Billing information
  • Delivery information (where applicable)

Failure to maintain accurate information may result in delayed services or suspension of your account.

8.4 Closing Your Account

You may close your account at any time through your dashboard or by contacting LIYAD Support.

Closing an account does not automatically cancel:

  • Outstanding invoices
  • Subscription fees already incurred
  • Legal obligations arising before closure
  • Pending disputes

LIYAD may retain certain records where required by law or for legitimate business purposes.

9. Seller Accounts

9.1 Becoming a Seller

To operate a store on LIYAD, you must register as a Seller.

During registration, you may be required to provide:

  • Full name
  • Business name
  • Business registration number (where applicable)
  • Tax information (where applicable)
  • Contact details
  • Banking information (if required)
  • Identity verification documents
  • Supported payment gateway details

Providing false or misleading information may result in immediate suspension or termination of your Seller account.

9.2 Independent Business

Each Seller operates an independent business.

By becoming a Seller, you acknowledge that:

  • You are not employed by LIYAD.
  • You are not acting as LIYAD's agent.
  • You are solely responsible for your business operations.
  • You are responsible for complying with all applicable laws relating to your products and services.

Nothing in these Terms creates a partnership, agency or joint venture between LIYAD and any Seller.

9.3 Seller Responsibilities

As a Seller, you agree to:

  • Maintain accurate business information.
  • Honour customer orders.
  • Accurately describe products.
  • Keep inventory reasonably up to date.
  • Respond to customer enquiries promptly.
  • Process orders within reasonable timeframes.
  • Comply with applicable consumer protection legislation.
  • Respect intellectual property rights.
  • Comply with health and safety regulations applicable to your products.

You are solely responsible for every product listed within your Store.

9.4 Verification

LIYAD may request verification documents at any time.

Verification may include:

  • Government-issued identification
  • Business registration certificates
  • Proof of address
  • Tax documentation
  • Payment gateway ownership verification
  • Banking confirmation

Failure to complete verification may limit your access to certain Platform features.

9.5 Suspension of Seller Privileges

LIYAD reserves the right to suspend or remove Seller privileges where we reasonably believe:

  • Fraud has occurred.
  • Counterfeit goods are being sold.
  • Illegal products are listed.
  • Customers are being intentionally misled.
  • Multiple unresolved complaints indicate significant misconduct.
  • Applicable laws have been breached.
  • These Terms have been violated.

Where reasonably possible, LIYAD will notify the Seller before taking permanent action, except where immediate suspension is necessary to protect customers, the Platform or comply with legal obligations.

10. Buyer Accounts

10.1 One LIYAD Account

LIYAD allows Buyers to maintain a single account across the Platform.

This means you may purchase products from multiple independent Sellers using the same LIYAD account without creating separate accounts for each Store.

For example:

  • liyad.co.za/aluta
  • liyad.co.za/recadi
  • liyad.co.za/beautyworld

can all be accessed using one Buyer account.

10.2 Buyer Profile

Your Buyer account may include:

  • Personal details
  • Saved addresses
  • Contact numbers
  • Order history
  • Saved payment preferences (where supported by third-party providers)
  • Wishlist items
  • Communication preferences

You are responsible for ensuring this information remains accurate.

10.3 Orders

Orders placed through your account will appear in your account history.

Order history may include:

  • Order number
  • Seller
  • Products purchased
  • Delivery status
  • Payment status
  • Tracking information
  • Previous invoices

Each Seller remains responsible for fulfilling those orders.

11. Store Names and URLs

Each Seller receives a unique Store URL.

Examples include:

  • liyad.co.za/aluta
  • liyad.co.za/recadi
  • liyad.co.za/fitnessplus

Store names are allocated on a first-come, first-served basis.

LIYAD reserves the right to reject, suspend or reclaim Store names that:

  • Infringe trademarks.
  • Impersonate another person or business.
  • Contain offensive language.
  • Promote hate speech.
  • Mislead consumers.
  • Suggest affiliation with LIYAD or another organisation without permission.
  • Violate applicable law.

Inactive Store names may also be reclaimed after an extended period of inactivity, provided reasonable notice has been given where practicable.

12. Subscription Fees

12.1 Activation Fee

Certain Seller plans may require a once-off activation fee before a Store is published.

Activation fees are non-refundable unless required by applicable law.

12.2 Monthly Subscription

Seller accounts operate on a recurring subscription model.

Subscription fees provide access to Platform features, software updates, hosting, security improvements and ongoing maintenance.

Subscription pricing is published on the LIYAD Pricing page.

12.3 Billing

Subscription fees are billed in advance according to your selected billing cycle.

You authorise LIYAD to charge your selected payment method for applicable subscription fees.

Failure to pay may result in:

  • Restricted functionality
  • Store suspension
  • Temporary removal of public access
  • Eventual account termination

12.4 Taxes

Displayed prices may exclude or include Value Added Tax (VAT) depending on applicable legal requirements.

Where VAT applies, it will be reflected in accordance with South African tax legislation.

12.5 Price Changes

LIYAD reserves the right to revise subscription pricing.

Reasonable notice will be provided before revised pricing takes effect.

Continued use of the Platform after the effective date constitutes acceptance of the updated pricing.

13. Payment Processing

LIYAD does not process customer card payments directly.

Instead, Sellers connect their own supported payment gateway accounts.

Payments made by Buyers are processed by the selected third-party payment gateway and are paid directly to the Seller in accordance with that provider's terms and conditions.

LIYAD does not:

  • Hold customer funds.
  • Receive settlement funds on behalf of Sellers.
  • Act as a bank.
  • Provide financial services.
  • Guarantee payment gateway availability.

LIYAD is not responsible for:

  • Failed transactions.
  • Delayed settlements.
  • Payment gateway outages.
  • Banking failures.
  • Chargebacks administered by payment providers.

Questions regarding payment processing should first be directed to the relevant Seller or payment gateway provider.

14. Orders

Orders submitted through the Platform are subject to acceptance by the Seller.

Submission of an order does not automatically guarantee acceptance.

A Seller may reject or cancel an order where:

  • Products are unavailable.
  • Pricing errors occurred.
  • Fraud is suspected.
  • Payment was unsuccessful.
  • Delivery cannot reasonably be completed.

Buyers will be notified where reasonably practicable if an order cannot be fulfilled.

15. Shipping and Fulfilment

Sellers are solely responsible for fulfilling customer orders.

This includes:

  • Packaging.
  • Courier selection.
  • Shipping.
  • Collection arrangements.
  • Delivery communication.
  • Tracking numbers.
  • Delivery timelines.

LIYAD provides software to help Sellers manage these processes but does not physically handle products or deliveries.

LIYAD is not liable for:

  • Lost parcels.
  • Damaged deliveries.
  • Courier delays.
  • Failed deliveries.
  • Incorrect shipping addresses supplied by Buyers.

16. Returns and Refunds

Each Seller is responsible for establishing and maintaining its own return and refund policy in accordance with applicable consumer protection legislation.

Where a Buyer wishes to return a product or request a refund, the Buyer should contact the relevant Seller directly.

LIYAD may provide communication tools to facilitate discussions between Buyers and Sellers but does not determine whether a refund should be granted unless required by applicable law or a specific Platform policy.

Refunds processed through third-party payment gateways remain subject to the terms and processing times of those providers.

17. Product Listings

17.1 Seller Responsibility

Sellers are solely responsible for every product or service listed in their Store.

By publishing a product on LIYAD, you represent and warrant that:

  • You have the legal right to sell the product.
  • The product complies with all applicable laws and regulations.
  • The product description is accurate and not misleading.
  • Images accurately represent the product being sold.
  • Pricing is correct at the time of publication.
  • The product is available unless otherwise indicated.
  • The listing does not infringe the intellectual property rights of any third party.

LIYAD does not verify every listing before publication and relies on Sellers to provide truthful and lawful information.

17.2 Accurate Listings

Product listings must accurately describe:

  • Product name
  • Specifications
  • Dimensions
  • Ingredients (where applicable)
  • Materials
  • Colour
  • Weight
  • Size
  • Features
  • Limitations
  • Included accessories
  • Country of origin (where legally required)

Sellers must not intentionally omit information that would materially influence a Buyer's purchasing decision.

17.3 Pricing

Sellers are responsible for maintaining accurate pricing.

Prices displayed should include any mandatory charges required by law.

Where taxes are excluded, this must be clearly indicated.

LIYAD reserves the right to remove listings containing obvious pricing errors or suspected fraudulent pricing.

17.4 Product Availability

Sellers should make reasonable efforts to keep stock quantities current.

If stock becomes unavailable after an order is placed, the Seller must notify the Buyer promptly and process any required refund in accordance with applicable law.

18. Prohibited Products

To protect Buyers and maintain compliance with applicable laws, certain products may not be listed on LIYAD.

Examples include, but are not limited to:

  • Illegal drugs and narcotics
  • Counterfeit goods
  • Stolen property
  • Firearms and prohibited weapons
  • Explosives
  • Hazardous chemicals without required authorisation
  • Fake identification documents
  • Pirated software
  • Copyright-infringing material
  • Products promoting hate speech or violence
  • Human remains
  • Wildlife products prohibited by law
  • Products prohibited by South African legislation
  • Any product requiring licences that the Seller does not possess

LIYAD may update the list of prohibited products from time to time.

The full list is contained within the Prohibited Products Policy, which forms part of these Terms.

19. Health and Wellness Products

LIYAD welcomes businesses operating in the health and wellness sector, provided they comply with applicable laws and industry standards.

Sellers offering health, wellness, cosmetic, nutritional or supplement products must ensure that:

  • Claims are truthful.
  • Claims can be substantiated.
  • Advertising complies with applicable legislation.
  • Products are legally permitted to be sold.
  • Required warnings are displayed where applicable.

Sellers must not make false or misleading statements such as:

  • "Guaranteed weight loss."
  • "Cures diabetes."
  • "Treats cancer."
  • "Instant results."
  • "Doctor approved" where no such approval exists.
  • "100% safe" where risks exist.

Medical claims should only be made where supported by appropriate scientific evidence and permitted by applicable law.

LIYAD reserves the right to remove listings containing misleading health claims without prior notice.

Further requirements are contained within the Health Claims Policy.

20. Intellectual Property

20.1 LIYAD Intellectual Property

All rights, title and interest in the Platform remain the exclusive property of LIYAD or its licensors.

This includes:

  • Software
  • Source code
  • APIs
  • User interfaces
  • Branding
  • Logos
  • Icons
  • Documentation
  • Graphics
  • Databases
  • Platform design
  • Platform functionality

Nothing contained in these Terms transfers ownership of LIYAD intellectual property to any user.

20.2 Seller Content

Sellers retain ownership of the content they upload to their Stores, including:

  • Product photographs
  • Logos
  • Brand assets
  • Product descriptions
  • Marketing content

By uploading content, Sellers grant LIYAD a worldwide, non-exclusive, royalty-free licence to host, display, reproduce and distribute that content solely for the purpose of operating, promoting and improving the Platform.

This licence ends when the content is permanently removed from the Platform, except where retention is required by law or for backup purposes.

20.3 Copyright Infringement

Users may not upload content that infringes another person's intellectual property rights.

If LIYAD receives a valid copyright complaint, we may:

  • Remove the content.
  • Disable access.
  • Suspend the Seller.
  • Request additional information.
  • Permanently terminate repeat offenders.

Procedures for reporting copyright infringement are described in the Copyright Policy.

21. User Content

Users are responsible for all content they upload.

This includes:

  • Reviews
  • Product images
  • Videos
  • Comments
  • Messages
  • Documentation
  • Marketing material

You agree not to upload content that:

  • Is unlawful.
  • Is defamatory.
  • Is abusive.
  • Is discriminatory.
  • Promotes violence.
  • Contains malware.
  • Contains viruses.
  • Invades another person's privacy.
  • Violates applicable laws.

LIYAD may remove content that violates these Terms without prior notice.

22. Reviews and Ratings

LIYAD may allow Buyers to leave ratings and reviews for products or Sellers.

Reviews should reflect genuine customer experiences.

Users may not:

  • Post fake reviews.
  • Manipulate ratings.
  • Offer incentives for positive reviews without disclosure.
  • Harass Sellers through reviews.
  • Publish defamatory content.

LIYAD reserves the right to moderate or remove reviews that violate these Terms or applicable law.

23. AI-Generated Content

LIYAD may provide AI-powered tools to assist Sellers in generating content such as:

  • Product descriptions
  • Marketing copy
  • Email campaigns
  • Social media captions
  • Product recommendations

AI-generated content is provided for convenience only.

Sellers remain fully responsible for reviewing, editing and verifying all generated content before publication.

LIYAD does not guarantee that AI-generated content is:

  • Accurate
  • Complete
  • Legally compliant
  • Free from copyright concerns
  • Suitable for a particular purpose

24. Acceptable Use

Users agree to use the Platform responsibly and lawfully.

You must not:

  • Attempt to hack the Platform.
  • Reverse engineer the software.
  • Circumvent security measures.
  • Upload malicious software.
  • Interfere with other users.
  • Access systems without authorisation.
  • Use bots to abuse Platform functionality.
  • Harvest customer information without permission.
  • Send spam through Platform features.
  • Use LIYAD for illegal activities.

Any attempt to compromise Platform security may result in immediate suspension and referral to law enforcement where appropriate.

25. Platform Availability

LIYAD aims to provide reliable access to the Platform.

However, uninterrupted availability cannot be guaranteed.

From time to time the Platform may be unavailable due to:

  • Scheduled maintenance.
  • Emergency maintenance.
  • Software updates.
  • Security incidents.
  • Internet outages.
  • Third-party service interruptions.
  • Cloud infrastructure failures.

LIYAD will make reasonable efforts to minimise disruptions.

Except where required by law, LIYAD is not liable for losses arising from temporary interruptions of the Platform.

Users are encouraged to maintain backups of important business information stored outside the Platform.

26. Privacy and Data Protection

LIYAD respects the privacy of its users and is committed to protecting Personal Information.

Our collection, use, storage and disclosure of Personal Information are governed by our Privacy Policy, which forms part of these Terms.

Where applicable, LIYAD processes Personal Information in accordance with:

  • The Protection of Personal Information Act, 2013 (POPIA)
  • The Electronic Communications and Transactions Act (ECTA)
  • Other applicable privacy and data protection laws

Depending on how you use the Platform, LIYAD may collect information including:

  • Name
  • Email address
  • Telephone number
  • Billing information
  • Delivery addresses
  • Device information
  • Browser information
  • IP addresses
  • Usage statistics
  • Security logs

LIYAD collects only the information reasonably necessary to operate, improve and secure the Platform.

We implement appropriate technical and organisational measures to protect Personal Information against unauthorised access, disclosure, alteration and destruction.

Users remain responsible for protecting the Personal Information they collect through their own Stores.

Where a Seller collects customer information through LIYAD, that Seller is independently responsible for complying with applicable privacy legislation.

27. Third-Party Services

The Platform may integrate with third-party services, including but not limited to:

  • Payment gateways
  • Courier providers
  • SMS providers
  • Email providers
  • Analytics platforms
  • Marketing tools
  • Artificial Intelligence services
  • Social media platforms
  • Accounting software
  • Mapping services

These services are operated independently of LIYAD.

LIYAD does not control their availability, security, pricing or performance.

Your use of any third-party service is governed by the terms and privacy policies of that provider.

LIYAD accepts no responsibility for interruptions, failures, data loss or damages arising from third-party services.

28. Service Availability

LIYAD continually develops and improves the Platform.

From time to time we may:

  • Add new features
  • Remove existing features
  • Improve performance
  • Upgrade infrastructure
  • Apply security updates
  • Perform scheduled maintenance

Although we strive for high availability, uninterrupted access cannot be guaranteed.

Temporary interruptions may occur because of:

  • Maintenance
  • Internet failures
  • Cloud infrastructure outages
  • Cybersecurity incidents
  • Third-party failures
  • Events beyond our reasonable control

Where practical, scheduled maintenance will be communicated in advance.

29. Suspension and Termination

LIYAD reserves the right to suspend, restrict or terminate any account where we reasonably believe that a user has:

  • Violated these Terms.
  • Engaged in unlawful conduct.
  • Attempted fraud.
  • Uploaded prohibited products.
  • Infringed intellectual property rights.
  • Misused the Platform.
  • Compromised Platform security.
  • Failed to pay subscription fees.
  • Provided false information during registration.

Where appropriate, LIYAD may first issue a warning and provide an opportunity to remedy the issue.

However, immediate suspension may occur where necessary to:

  • Protect Buyers.
  • Protect Sellers.
  • Protect the Platform.
  • Comply with legal obligations.
  • Prevent ongoing harm.

Termination of an account does not release a user from obligations that arose before termination, including outstanding fees or legal liabilities.

30. Limitation of Liability

To the maximum extent permitted by applicable law, LIYAD shall not be liable for any indirect, incidental, consequential, special or punitive damages arising from or relating to the use of the Platform.

This includes, without limitation:

  • Loss of profits
  • Loss of revenue
  • Loss of business opportunities
  • Loss of goodwill
  • Loss of data

LIYAD provides the Platform on an "as available" and "as is" basis.

Except where prohibited by law, LIYAD does not warrant that:

  • The Platform will always be available.
  • The Platform will be error-free.
  • The Platform will meet every user's requirements.
  • The Platform will operate without interruption.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded under applicable legislation.

31. Indemnity

You agree to indemnify and hold harmless LIYAD, its directors, employees, contractors, affiliates and service providers against any claims, losses, liabilities, damages, costs or expenses arising from:

  • Your use of the Platform.
  • Your breach of these Terms.
  • Your products or services.
  • Your infringement of another person's rights.
  • Your violation of applicable laws.
  • Claims brought by your customers.
  • Content you upload to the Platform.

This indemnity continues even after your account has been closed.

32. Force Majeure

LIYAD shall not be liable for any failure or delay in performing its obligations where such failure results from events beyond its reasonable control.

These events include, but are not limited to:

  • Natural disasters
  • Floods
  • Fires
  • Pandemics
  • Government action
  • Civil unrest
  • Strikes
  • Internet outages
  • Cloud provider failures
  • Cyber attacks
  • Power failures
  • Telecommunications failures

Performance of affected obligations will be suspended for the duration of the event.

33. Electronic Communications

By creating an account, you consent to receiving electronic communications from LIYAD.

These communications may include:

  • Account notifications
  • Security alerts
  • Billing notices
  • Service announcements
  • Product updates
  • Legal notices
  • Platform notifications

Where marketing communications are sent, users may opt out in accordance with applicable law.

Certain service-related communications cannot be opted out of because they are necessary for operating your account.

34. Governing Law

These Terms are governed by and interpreted in accordance with the laws of the Republic of South Africa.

Any dispute arising from these Terms or the use of the Platform shall be subject to the jurisdiction of the competent courts of South Africa, unless applicable law provides otherwise.

35. Dispute Resolution

Before commencing formal legal proceedings, users are encouraged to contact LIYAD to attempt to resolve disputes in good faith.

Many issues can be resolved quickly through communication.

Nothing in this section prevents a party from exercising rights available under applicable law or seeking urgent legal relief where necessary.

36. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision shall be interpreted as closely as possible to its intended purpose.

The remaining provisions shall continue in full force and effect.

37. Entire Agreement

These Terms, together with the documents referenced within them, constitute the entire agreement between LIYAD and the user regarding the use of the Platform.

  • Acceptable Use Policy
  • Prohibited Products Policy
  • Health Claims Policy
  • Cookie Policy
  • Copyright Policy
  • Community Standards

Where there is a conflict between these Terms and another Platform policy, the document specifically addressing the relevant subject matter will prevail to the extent of that conflict.

Platform responsibility statement

LIYAD is a software platform that enables independent sellers to create and manage online stores. LIYAD is not the seller of products listed on the platform. Unless LIYAD is explicitly identified as the merchant for a specific transaction, it does not manufacture, own, warehouse, inspect, guarantee, endorse or deliver products sold by independent sellers. Each seller is solely responsible for product quality, pricing, legal compliance, fulfilment, customer support, refunds, warranties and tax obligations.
